Terms of Service

These terms are an agreement between you and MapWorthy Inc. ("MapWorthy", "we") governing your use of mapworthy.ai and the MapWorthy service. By creating an account you agree to them. If you are using MapWorthy on behalf of a company, you confirm you have authority to bind that company, and "you" means the company.

1. What MapWorthy is — and what it is not

MapWorthy is a site-evaluation instrument. It scores candidate locations against a set of weighted factors using demographic, competitive, and street-level data, and returns a score, a verdict, and the reasons behind them.

MapWorthy is an informational tool, not professional advice. Evaluations are not real-estate, investment, legal, or financial advice, and a verdict is not a guarantee or prediction of business performance at any location. Site decisions involve factors no dataset captures — lease terms, operator quality, timing, luck. You are responsible for your own decisions, for independently verifying any information material to them, and for complying with your franchise agreements and local requirements. Verify zoning, permitted use, and site conditions with the relevant municipality and your own advisors before committing to any site.

MapWorthy reports, scores, and revenue estimates are provided for your internal site-screening use only. They are not financial performance representations, earnings claims, or projections within the meaning of the FTC Franchise Rule, provincial franchise legislation, or any similar law, and they must not be included in a franchise disclosure document or presented to prospective franchisees as a representation of expected sales, income, or profits. You are solely responsible for your own compliance with franchise disclosure laws.

2. Your account

You must provide accurate information, keep your credentials confidential, and be at least 18. You are responsible for activity under your account. Tell us promptly at the contact below if you believe your account has been compromised.

Reports are for your internal business use, which includes sharing them with your own stakeholders — partners, franchisees, lenders, landlords, and advisors — in the ordinary course of a site decision.

5. Your data

Your brand configurations, the addresses you evaluate, and your saved evaluations are your business information. We do not disclose them to other customers or use them to build products for anyone else. Our handling of personal information is described in the Privacy Policy, which forms part of these terms. You are responsible for having the right to evaluate the addresses you submit.

6. Third-party data

Reports incorporate data from third-party sources, including Google Maps Platform, Statistics Canada, the United States Census Bureau, OpenStreetMap contributors, and routing providers. That data belongs to its providers and is subject to their terms. Data can be incomplete, out of date, or wrong at any given address; where material data is unavailable, reports say so rather than estimate. We do not warrant the accuracy or completeness of any third-party data.

MapWorthy includes Google Maps features and content. By using MapWorthy, you agree that your use of Google Maps features and content is subject to the then-current Google Maps End User Additional Terms of Service (https://maps.google.com/help/terms_maps/) and the Google Privacy Policy (https://policies.google.com/privacy).

7. Our intellectual property

The service — including its scoring methodology, software, and design — is MapWorthy's intellectual property. We grant you a limited, non-exclusive, non-transferable right to use it under these terms. You keep ownership of the information you put in; we keep ownership of the instrument.

8. Availability and changes to the service

We aim for the service to be available and accurate, but it is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We may improve or modify features; if we materially reduce what a paid plan includes, we will notify you in advance.

9. Limitation of liability

To the maximum extent permitted by law: MapWorthy is not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, or business losses — including losses arising from any site decision made with or without regard to an evaluation. Our total aggregate liability for all claims arising out of the service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim (or CAD $100 if you have paid nothing). Some jurisdictions do not allow certain exclusions; where that is the case, these limits apply to the fullest extent permitted.

10. Indemnity

You will indemnify MapWorthy against third-party claims arising from your breach of these terms or your unlawful use of the service.

11. Suspension and termination

You may close your account at any time. We may suspend or terminate accounts that materially breach these terms, with notice where practicable. On termination, sections 5–10 survive, and data deletion follows the Privacy Policy.

12. Changes to these terms

If we change these terms materially, we will notify account holders by email at least 30 days before the change takes effect. Continued use after the effective date is acceptance.

13. Governing law

These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there. Courts located in Alberta have exclusive jurisdiction, and each party waives objection to that venue. If you are a US customer, you agree that the service is provided from Canada.
